These Terms of Service (“Terms”) form a legal agreement between you and Brazil Safe Closing Ltda. (Brazil Safe Closing™, “we”, “us”) governing your access to and use of brazilsafeclosing.com and our related online workflows and mini-apps (together, the “Services”), including CPF Assist, Non-Resident Bank Assist, and Deed Scanner.

By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

1. Platform and Service Overview

Brazil Safe Closing™ is an online-first platform that helps foreign individuals complete administrative workflows related to Brazil, including structured intake, document uploads, and coordination with third parties where needed.

The Services may include (without limitation):

  • CPF Assist: a guided workflow to help foreign citizens prepare and coordinate an application for a Brazilian CPF (Cadastro de Pessoas Físicas) number.
  • Non-Resident Bank Assist: a guided workflow that helps non-resident foreign citizens prepare and submit a request to open a Brazilian bank account through third-party financial institutions (“partner banks”).
  • Deed Scanner: a document intake and analysis workflow that helps you obtain a structured property snapshot for a Brazilian property based on the official property registration document (matrícula) and related documents.

We may add, remove, or modify Services over time. Some Services may be delivered through subdomains or third-party hosted pages that are branded as Brazil Safe Closing™.

2. Administrative and Informational Services Only

Brazil Safe Closing™ provides administrative and informational assistance only.

We do not provide legal, tax, financial, investment, or immigration advice or representation. You remain responsible for your decisions and for obtaining independent professional advice where needed.

We are not a bank and we do not provide banking services. We do not control decisions made by authorities, registries (cartórios), courts, banks, or other third parties.

No attorney-client relationship is created by your use of the Services. Any informational outputs (including Deed Scanner reports) are not a substitute for professional advice or full due diligence.

3. Eligibility and Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. You agree to provide accurate information and to keep your account information current.

You are responsible for all activity that occurs under your account and for maintaining the confidentiality of your login credentials.

4. Your Responsibilities

You agree to:

  • Provide complete, accurate, and readable information and documents when requested.
  • Promptly respond to follow-up requests needed to proceed with your order (for example, signature requests or replacement documents).
  • Use the Services only for lawful purposes and in compliance with applicable laws.
  • Not upload content you do not have the right to share or that infringes the rights of others.
  • Not attempt to disrupt or misuse the Services (including by uploading malware or attempting unauthorized access).

5. Document Uploads and Permissions

If the Services allow you to upload documents, you grant Brazil Safe Closing™ a limited authorization to store, review, organize, and transmit those documents as needed to perform the administrative services you request.

You represent that you have all necessary rights and permissions to provide any documents or information submitted through the Services.

Unless we specifically request otherwise, you should not mail original documents to us. Scanned copies or digital files uploaded through the Services are generally sufficient.

6. Service-Specific Notes and Third-Party Dependencies

Important: outcomes and timelines depend on third parties, including government authorities, registries/cartórios, courts, translation vendors, payment providers, and partner banks. We cannot guarantee approvals, issuance, delivery times, or third-party responsiveness.

Deed Scanner uses a structured, informational approach that may include automated tools (including AI) to help extract and organize information from documents. Where used, the output is intended as a screening snapshot and not a legal opinion or substitute for a full legal due diligence review.

Non-Resident Bank Assist: partner banks determine account approval and features (including whether Pix or other features are available). We do not control partner bank policies or decisions.

7. Fees, Payments, and Taxes

Service fees (if any) will be displayed to you before purchase or within the relevant order flow. By submitting payment, you authorize us (and our payment processing providers) to charge the applicable amount.

Taxes, bank fees, currency conversion fees, wire fees, and other third-party charges (if any) may be assessed by third parties and are outside our control. Unless explicitly stated at checkout, service fees do not include third-party charges.

8. Refunds and Cancellations

Refund and cancellation eligibility may vary depending on the Service, the stage of work, third-party costs already incurred, and applicable law.

Where we advertise a money-back guarantee for a particular Service, the conditions for that guarantee will be presented in the relevant order flow or service-specific terms. 9. Intellectual Property

The Services and their content (excluding your uploaded materials) are owned by Brazil Safe Closing™ or its licensors and are protected by intellectual property laws.

You receive a limited, non-exclusive, non-transferable right to use the Services for their intended purpose while these Terms remain in effect.

10. Disclaimers

The Services are provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that authorities, registries, or partner banks will approve or accept any application, request, or submission.

11. Limitation of Liability

To the maximum extent permitted by law, Brazil Safe Closing™ will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunities.

To the extent permitted by law, our total liability for claims relating to the Services will not exceed the amount you paid to us for the specific service giving rise to the claim during the three (3) months before the event giving rise to liability.

12. Indemnification

You agree to indemnify and hold harmless Brazil Safe Closing™ from claims, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the Services, your violation of these Terms, or your violation of any rights of a third party.

13. Suspension and Termination

We may suspend or terminate your access to the Services if we reasonably believe you have violated these Terms, created risk for other users, or used the Services unlawfully.

You may stop using the Services at any time. If you request account deletion, we will process it in accordance with our Privacy Policy and applicable law.

15. Governing Law

To the extent permitted by law, these Terms are governed by the laws of the Federative Republic of Brazil, without regard to conflict-of-law principles. Mandatory consumer protection rights in your jurisdiction (if any) remain unaffected.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
